Terms of Service

1. The service

Qoren provides managed hosting and operational tooling for AI agents. We provision and operate the cloud environments where your agents run, and we give you a dashboard to configure agents, manage secrets, connect model access, monitor usage, and control spend.

Qoren does not author or supply the agent runtimes themselves. OpenClaw and Hermes are third-party runtimes, and the models your agents use are provided by third-party model providers. We may add, change, or remove features over time.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use Qoren. You are responsible for the information you provide, for keeping your account secure, and for all activity under your account.

• Provide accurate account and billing information and keep it current.
• Keep your password and authentication factors confidential.
• You are responsible for the actions of all users and agents under your account.
• Notify us promptly at hello@magentic.studio if you suspect unauthorized use of your account.

3. Plans, billing, and payment

Qoren is offered under subscription plans with the features and limits described at the time of purchase. Paid plans renew automatically for successive billing periods until cancelled.

Payments are processed by our payment provider, Polar. By subscribing, you authorize recurring charges for the plan you select, plus any usage-based charges and applicable taxes.

Fees are stated exclusive of taxes unless noted, and you are responsible for any taxes other than those on our net income. Except where required by law, fees are non-refundable and we do not provide refunds or credits for partial billing periods.

You may cancel at any time from your account settings, and cancellation takes effect at the end of the current billing period. We may change pricing or plan limits with reasonable notice, effective on your next renewal.

4. Model access and usage

Plans include a managed model key or allow you to bring your own provider key (BYOK) where supported. When you use a managed key, model usage is metered and may count toward plan limits or usage-based charges.

When you bring your own key, you are responsible for your agreement with, and charges from, that provider. You are responsible for all model and tool usage generated by your agents, including usage that results from misconfiguration or unintended agent behavior.

5. Acceptable use

You agree not to use Qoren, and not to configure agents, to:

• Violate any law or regulation, or infringe the rights of others.
• Access, probe, or disrupt systems or accounts you are not authorized to use.
• Send spam, conduct phishing, distribute malware, or carry out denial-of-service or other abusive automated activity.
• Generate or distribute content that is unlawful, that sexually exploits minors, or that harasses or harms others.
• Circumvent usage limits, security controls, or access restrictions, or resell the service without our consent.
• Use the service in a way that endangers our infrastructure or other customers.

6. Your content and agents

You retain ownership of the configurations, prompts, files, credentials, and other materials you provide ("Customer Content"), and of the outputs your agents produce for you. You grant us a limited license to host, process, and transmit Customer Content as needed to operate the service for you.

You are solely responsible for your agents and what they do, including the instructions you give them, the credentials and integrations you connect, the actions they take in third-party systems, and the consequences of those actions. Agents act autonomously based on your configuration, so you are responsible for setting appropriate permissions, spend limits, and review.

You represent that you have the rights necessary to provide Customer Content and to authorize your agents to access any third-party systems you connect.

7. Third-party services

Qoren integrates with third-party runtimes, model providers, and services that you choose to connect. Your use of those services is governed by their own terms, and we are not responsible for them. You are responsible for the credentials you store and the access you grant to your agents.

8. Intellectual property

Qoren, the dashboard, our software, and our trademarks (including "Qoren" and "Magentic Studio") are owned by us or our licensors and are protected by intellectual property laws. These Terms do not grant you any right to use our trademarks without our prior written consent. We may use aggregated, de-identified data about service usage to operate and improve Qoren.

9. Feedback

If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use it without restriction or obligation to you.

10. Service availability

We aim to keep Qoren available and reliable, but we do not guarantee uninterrupted or error-free operation. We may perform maintenance, apply rate or resource limits, and modify or discontinue features. Managed hosting does not remove your responsibility to configure agents safely and to monitor their behavior.

11. Suspension and termination

You may stop using Qoren and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the service in a way that risks harm to us, our other customers, or third parties. We may also modify or discontinue the service with reasonable notice.

On termination, your right to use Qoren ends and we may delete Customer Content after a reasonable period, so export any data you need beforehand. Sections that by their nature should survive termination will survive.

12. Disclaimers

Qoren is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. We do not warrant that agents will behave as intended, that outputs will be accurate, or that the service will be uninterrupted or secure. Nothing in these Terms excludes liability that cannot be excluded under applicable law, including mandatory consumer rights.

13. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to your use of Qoren. Our total liability for all claims relating to the service will not exceed the amount you paid us for the service in the twelve months before the event giving rise to the claim. These limits do not apply to liability that cannot be limited under applicable law.

14. Indemnification

You will defend, indemnify, and hold harmless Magentic Studio from claims, damages, and expenses arising out of your Customer Content, your agents and their actions, your use of the service, or your breach of these Terms, except to the extent caused by us.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, for example by posting the updated Terms here and revising the date below or by notifying you. Your continued use of Qoren after the changes take effect means you accept the updated Terms.

16. Governing law and disputes

These Terms are governed by the laws of Portugal, without regard to conflict-of-laws rules. The courts of Portugal will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the service, except where mandatory law gives you the right to bring proceedings in another forum. If you are a consumer, you may also have access to your local consumer dispute resolution options.
